SHIFTORIA provides digital file migration, structure alignment, format adaptation, system reorganization, and related consulting services to business clients. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate project agreement issued before any work commences. We also offer digital products — including templates, frameworks, and assessment toolkits — available for purchase as standalone items.
2. Eligibility and Client Responsibilities
Our services are available to business entities and professional individuals only. By engaging SHIFTORIA, you confirm that you have the authority to enter into a binding agreement on behalf of your organization. You are responsible for providing accurate information about your source file systems and infrastructure, and for ensuring that SHIFTORIA has lawful access to all file systems involved in the engagement. You are responsible for maintaining appropriate backups of all data prior to any migration work.
3. Fees and Payment
Service fees are set out in individual project agreements. Fees for digital products are payable in full before delivery. All prices are quoted exclusive of applicable taxes unless stated otherwise. All sales of digital products are final. Refunds are not provided unless the delivered product is materially defective, in which case you must notify us within 14 days of purchase.
4. Intellectual Property
All methodologies, frameworks, templates, and processes developed by SHIFTORIA remain the intellectual property of SHIFTORIA FILESYSTEMS LIMITED. Upon payment of all applicable fees, clients receive a non-exclusive, non-transferable license to use the deliverables produced for their engagement. Digital products are licensed for internal use within your organization only and may not be resold, redistributed, or shared with third parties.
5. Confidentiality
SHIFTORIA treats all client data, file system contents, and organizational information as strictly confidential. We do not disclose or use client information for any purpose other than delivering the agreed services. Clients are similarly required to treat SHIFTORIA's proprietary methodologies and pricing information as confidential.
6. Limitation of Liability
SHIFTORIA's liability for any claim arising from a service engagement is limited to the total fees paid by the client for the specific engagement giving rise to the claim. We are not liable for indirect, consequential, or incidental damages, including loss of revenue, loss of data, or business interruption.
7. Termination
Either party may terminate a project engagement by providing written notice. Fees for work completed up to the date of termination are due and payable. SHIFTORIA reserves the right to refuse or terminate any engagement where the client provides false information or violates these Terms of Service.
8. Governing Law
These Terms of Service are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Changes to These Terms
SHIFTORIA may update these Terms from time to time. Continued use of our services following any update constitutes acceptance of the revised terms.
